Founders & Operators (Class A Voting)

Kevin Walter — CEO & Co-Founder

Visual Effects Producer on Aquaman (MPC). Three-discipline producer experience (production + VFX + virtual production) is the load-bearing insight behind the ComposiTrack pivot and the broader pipeline architecture. See Q-G64 §2C for the defensibility framing.

Mandate: Owns company strategy, fundraising, and the master budget, with final say on product, brand, and technology architecture. Holds the CTO seat operationally until the dedicated CTO hire in 2027, so engineering scope and the pipeline / IP roadmap sit with him today. Accountable for direction and for making the call when the team needs a decision.

Ari Jampolsky — CPO (Chief Production Officer) & Co-Founder

30+ years production experience. Co-founder of Monitor (Vancouver studio services). Founder of Jampolsky & Sons and Big Antenna. Founding member of CPAC (Canadian Production Assistance Corporation). Owns set and production operations as CPO, leveled as a C-level peer.

Mandate: Owns set and production operations as a C-level peer — crew sourcing and scheduling, gear and logistics, studio and stage operations, and day-to-day shoot execution against the client’s creative direction. Specs production budgets but runs authorization and payment through the COO’s finance function, and manages production vendors operationally while commercial terms sit with the COO. Accountable for delivering the physical production side of every engagement.

Nick Poppell — Co-Founder, COO

Operations partner. Owns shared-folder discipline, daily operations, and partnership logistics.

Mandate: Owns facilities, daily operations, partnerships, and go-to-market execution, plus shared-folder and operational discipline across the company. Runs the partner and vendor logistics that keep engagements moving. Accountable for the operational backbone — the facilities and systems that let production services be delivered.

Incoming Hire

CTO — New Hire (2027)

New hire — joining at Series A close (January 2027). The dedicated Chief Technology Officer who takes over technology and engineering leadership from Kevin, who holds the seat operationally until then.

Mandate: Owns the technology organization and engineering execution — pipeline architecture, the Fluxx Automate / near-time render stack, the cloud and security envelope, and the DCC plugin and integration roadmap. Leads the Series A engineering cohort (pipeline architect, cloud architect, Automate product owner, senior TDs, integration engineer) and owns delivery of the production-controlled pipeline. Accountable for the technical roadmap and the IP at the core of the stack.

Studio Relations (Class B Non-Voting)

Jeff Brown — Studio Relations

12% non-voting Class B equity (founder-range, per Q-G9 lock). Strategic founding partner who took non-voting equity to keep operational governance with the active founding team. Now the part-time studio point person; external title updated from Mentor to Studio Relations per Kevin 2026-06-01 (supersedes the Q-G9 S110 title lock).

Mandate: Part-time point person with the studios. Owns Fluxx’s studio relationships and distribution introductions, carrying the company’s story into the studios where a 26-year Warner Bros track record gives him reach. Engaged for relationship leadership, not day-to-day operations.

Advisors

Brian Connor — VFX Supervisor & Advisor

Academy Award winner for Dune. Over 20 years leading visual effects on major Hollywood productions. Advises Fluxx on production-grade VFX standards and the bridge between traditional VFX pipelines and real-time technologies.

External Validators

Dan Gilroy — Director, Nightcrawler, Roman J. Israel, Esq.

“Fluxx is the future of filmmaking. It lets directors push creative boundaries without blowing the budget or the schedule.” — Dan Gilroy (S112 approved phrasing)

Plans to use Fluxx on upcoming projects. (S112 credential softening per Kevin AskUserQuestion pick — preserves Sofia-investor signal.)

James Cameron — Director, Avatar, Titanic

External validator — Cameron’s “cut the cost of VFX in half” framing, which Fluxx treats as the floor, not the benchmark (per Q-G20 Variant G / Q-G57 §5). (Variety reference, S82 carry; canon entry pending in _Master_Canon/Validations/ at Goal A Phase 5. Earlier “40%” figure superseded by the S133/S139 half-the-cost lock.)
